Welcome to HighRanx. These Terms of Service explain the rules for using our website, products, services, software, review tools, Smart Plax™, Smart Tap Card™, automation tools, website services, reputation tools, and related business services.

By visiting HighRanx.com, purchasing from HighRanx, subscribing to a HighRanx service, submitting a form, or using any HighRanx product or service, you agree to these Terms.

These Terms are written in plain English so they are easier to understand. They are not a substitute for legal advice. HighRanx recommends having these Terms reviewed by a qualified attorney before relying on them for official business use.

1. About HighRanx

HighRanx provides business growth tools and services, including but not limited to:

  • Smart Plax™
  • Smart Tap Card™
  • Review capture systems
  • Review routing pages
  • Reputation tools
  • Website services
  • AI tools
  • Business automation services
  • Customer feedback tools
  • Analytics and reporting tools
  • Related setup, support, and consulting services

HighRanx may add, remove, change, or update products and services at any time.

2. No Guarantee of Results

HighRanx does not guarantee any specific business outcome.

This includes, but is not limited to, guarantees about:

  • Review count
  • Star rating
  • Google ranking
  • Facebook ranking
  • Search ranking
  • Website traffic
  • Lead volume
  • Sales
  • Revenue
  • Customer behavior
  • Customer satisfaction
  • Review approvals
  • Review removals
  • Review visibility
  • Platform performance
  • Business growth

Our tools are designed to help businesses request, capture, route, organize, and manage review-related activity and customer feedback. However, actual results depend on many factors outside of HighRanx's control, including customer behavior, business operations, service quality, platform rules, competition, market conditions, and third-party platform decisions.

3. Third-Party Platforms

HighRanx products and services may interact with or link to third-party platforms, including but not limited to:

  • Google
  • Google Business Profile
  • Facebook
  • Meta
  • Yelp
  • Review platforms
  • Website hosting providers
  • Email providers
  • SMS providers
  • Payment processors
  • Analytics tools
  • AI tools
  • Reputation platforms
  • CRM platforms
  • Automation tools

HighRanx does not own or control these third-party platforms. Each platform has its own rules, policies, terms, algorithms, review filters, account review systems, ranking systems, and enforcement actions.

You are responsible for complying with all third-party platform policies, including Google, Facebook, Yelp, and any other platform connected to your business.

HighRanx is not responsible if a third-party platform:

  • Removes reviews
  • Filters reviews
  • Hides reviews
  • Rejects reviews
  • Suspends an account
  • Freezes an account
  • Limits account access
  • Changes a business listing
  • Removes a business listing
  • Changes platform policies
  • Changes ranking algorithms
  • Changes review display rules
  • Changes API access
  • Blocks links
  • Disables features
  • Flags content
  • Penalizes a business profile
  • Takes any other action that affects your account, listing, reviews, visibility, or business

Any dispute between you and a third-party platform is between you and that platform. HighRanx is not liable for platform actions, enforcement decisions, account suspensions, review removals, review filtering, loss of access, ranking changes, or any related business impact.

4. Customer Responsibility for Compliance

You agree to use HighRanx products and services responsibly and legally.

You are responsible for making sure your use of HighRanx complies with:

  • Applicable laws
  • Platform policies
  • Review platform rules
  • Advertising rules
  • Consumer protection rules
  • Industry regulations
  • Your own business policies
  • Any rules that apply to your location, industry, or customers

You agree not to use HighRanx to:

  • Post fake reviews
  • Encourage fake reviews
  • Buy reviews
  • Sell reviews
  • Misrepresent customer experiences
  • Impersonate customers
  • Submit reviews on behalf of customers without permission
  • Violate Google, Facebook, Yelp, or other platform policies
  • Send spam
  • Collect information illegally
  • Harass customers
  • Mislead customers
  • Use deceptive business practices
  • Interfere with third-party platforms
  • Damage HighRanx or its reputation

HighRanx may suspend or terminate service if we believe your use of our products or services violates these Terms, applicable law, platform policies, or creates risk for HighRanx.

5. ReviewLogic, Smart Plax™, and Smart Tap Card™ Functionality

HighRanx may provide review capture and routing tools through Smart Plax™, Smart Tap Card™, landing pages, QR codes, NFC taps, review buttons, star rating flows, private feedback forms, and related tools.

Depending on the setup, a customer may be directed to different pages or options based on their interaction with the system.

Private feedback may be emailed directly to the business owner, manager, or designated contact. Private feedback does not have to be displayed publicly. HighRanx may process routing data, client settings, page visits, star selections, review button clicks, private feedback delivery logs, and related activity needed to operate and improve the system.

HighRanx does not control whether a customer chooses to leave a review. HighRanx does not control whether Google, Facebook, Yelp, or another platform accepts, rejects, filters, hides, removes, or displays a review.

6. Smart Plax™ and Smart Tap Card™ Ownership

Once Smart Plax™ or Smart Tap Card™ products are purchased and paid in full, the physical items belong to the client.

However, the physical item and the active HighRanx service are separate.

The physical Smart Plax™ or Smart Tap Card™ may contain QR codes, NFC chips, links, routing pages, review flows, landing pages, tracking features, software connections, analytics, or other digital services powered by HighRanx.

If your subscription is canceled, expired, unpaid, suspended, or terminated, HighRanx may deactivate, pause, redirect, remove, or disable the digital services connected to the Smart Plax™, Smart Tap Card™, QR code, NFC tap, landing page, routing page, tracking system, or related HighRanx service.

After cancellation or deactivation, the physical item may still belong to you, but the HighRanx-powered digital functionality may no longer be active.

HighRanx is not required to keep links, QR codes, NFC destinations, routing pages, review flows, analytics, or software features active after your subscription ends.

7. Subscriptions and Billing

Some HighRanx services are billed as subscriptions. Subscription pricing, billing frequency, setup fees, included features, and service terms may vary based on the package selected.

By purchasing a subscription, you authorize HighRanx and its payment processor, including Stripe, to charge your payment method for recurring fees, setup fees, add-ons, upgrades, overages, taxes, or other agreed charges.

You agree to keep your billing information accurate and up to date.

If payment fails, HighRanx may attempt to collect payment again. HighRanx may also pause, suspend, or terminate services until payment is received.

8. Setup Fees

Setup fees may apply to Smart Plax™, Smart Tap Card™, websites, review systems, automation services, AI tools, software setup, onboarding, account configuration, design work, page creation, consulting, integrations, or other setup work.

Unless otherwise stated in writing, setup fees are non-refundable once work has begun.

Setup work may include planning, design, account setup, page creation, QR or NFC configuration, software setup, customer onboarding, research, support, communication, or other preparation performed by HighRanx.

9. Cancellations

Unless otherwise agreed in writing, subscriptions may be canceled at any time.

Cancellation takes effect at the end of the current paid billing cycle.

You will continue to have access to active subscription services until the end of the billing period, unless your account is suspended for non-payment, misuse, policy violations, or another issue covered by these Terms.

After cancellation, HighRanx may deactivate digital services connected to your account, including but not limited to review routing pages, Smart Plax™ links, Smart Tap Card™ links, QR code destinations, NFC destinations, analytics, dashboards, automations, forms, software access, AI tools, reputation tools, and related services.

10. Refunds

Unless otherwise stated in writing:

  • Setup fees are non-refundable once work has begun.
  • Subscription payments are non-refundable.
  • HighRanx does not provide prorated refunds for the current billing period.
  • Cancellation stops future billing after the current billing cycle ends.
  • Custom work, design work, onboarding work, consulting, configuration, and completed services are non-refundable.
  • Physical products that have been customized, printed, configured, shipped, or delivered are non-refundable unless required by law.

HighRanx may choose to issue a refund or credit in special situations, but doing so does not create an obligation to issue future refunds or credits.

11. Service Limitations

HighRanx works to provide reliable products and services, but no service is perfect.

HighRanx does not guarantee that:

  • Services will be uninterrupted
  • Services will be error-free
  • QR codes or NFC taps will always scan properly on every device
  • Third-party platforms will always load properly
  • Emails will always be delivered
  • SMS messages will always be delivered
  • Forms will always be received
  • Analytics will always be complete
  • AI outputs will always be accurate
  • Third-party integrations will always remain available
  • Customer devices, browsers, or internet connections will always work properly

HighRanx may perform maintenance, updates, changes, or improvements that temporarily affect service availability.

12. Third-Party Software and Tools

HighRanx may use third-party software, hosting, email services, analytics tools, payment processors, AI tools, automation tools, reputation platforms, CRM platforms, design tools, form tools, or other vendors to deliver services.

By using HighRanx services, you understand that certain data may be processed through these third-party tools as needed to provide the service.

HighRanx is not responsible for outages, errors, policy changes, data issues, account restrictions, pricing changes, or service interruptions caused by third-party providers.

13. Customer Content and Information

You may provide HighRanx with business names, logos, images, contact information, review links, website links, employee names, customer-facing copy, offers, service descriptions, business details, and other materials.

You confirm that you have the right to provide this content to HighRanx and that HighRanx may use it to provide services to you.

You are responsible for making sure your business information, offers, claims, pricing, disclaimers, service descriptions, and public-facing statements are accurate and legal.

HighRanx is not responsible for inaccurate, outdated, illegal, or misleading information provided by you.

14. AI Tools and Automation

Some HighRanx services may include AI-generated content, AI-assisted responses, automated workflows, suggested replies, summaries, recommendations, reports, or other automated outputs.

AI tools can make mistakes. You are responsible for reviewing and approving any AI-generated or automated content before relying on it, publishing it, sending it, or using it in your business.

HighRanx is not responsible for decisions made based on AI-generated content or automated outputs.

15. Website Services

If HighRanx provides website services, website edits, hosting support, landing pages, forms, design services, SEO-related work, or related website support, HighRanx does not guarantee search rankings, traffic, leads, conversions, sales, uptime, or revenue.

You are responsible for reviewing and approving website content, business claims, legal disclosures, privacy disclosures, refund policies, industry-specific requirements, and any information displayed on your website.

16. Account Access and Client Responsibilities

You may be required to provide access to business accounts, software platforms, review links, website tools, domain accounts, email accounts, or other systems.

You are responsible for:

  • Providing accurate access information
  • Maintaining ownership of your accounts
  • Keeping your passwords secure
  • Removing HighRanx access when no longer needed
  • Complying with all platform rules
  • Approving content before publication when required
  • Responding to customer issues
  • Managing your business operations

HighRanx is not responsible for loss, damage, suspension, or account issues caused by incorrect access, third-party platform actions, client misuse, or failure to follow platform rules.

17. Prohibited Use

You may not use HighRanx products or services to:

  • Break the law
  • Violate platform policies
  • Send spam
  • Collect data without permission
  • Mislead customers
  • Create fake reviews
  • Manipulate review platforms unlawfully
  • Impersonate others
  • Harass, threaten, or abuse others
  • Upload harmful code
  • Attempt to hack, disrupt, or damage HighRanx systems
  • Resell HighRanx services without written permission
  • Use HighRanx in a way that harms our business, reputation, customers, vendors, or systems

HighRanx may suspend or terminate service for prohibited use.

18. Intellectual Property

The HighRanx name, branding, logos, designs, copy, software flows, page layouts, Smart Plax™ concepts, Smart Tap Card™ concepts, systems, processes, graphics, and related materials are owned by HighRanx or licensed to HighRanx.

You may not copy, reproduce, resell, modify, distribute, or use HighRanx intellectual property without written permission.

Purchasing a product or subscription does not give you ownership of HighRanx software, systems, designs, templates, branding, source code, processes, or digital infrastructure.

19. Client License to Use Deliverables

During an active subscription, HighRanx grants you a limited, non-exclusive, non-transferable license to use the digital services, pages, links, routing systems, dashboards, tools, or other deliverables provided as part of your package.

This license ends when your subscription ends, unless otherwise agreed in writing.

Physical products that are paid in full may remain yours, but digital services connected to them may be disabled when your subscription ends.

20. Limitation of Liability

To the fullest extent allowed by law, HighRanx is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages.

This includes, but is not limited to, loss of revenue, loss of reviews, loss of rankings, loss of leads, loss of business, loss of goodwill, loss of data, account suspension, platform penalties, platform restrictions, review removal, review filtering, customer complaints, website downtime, third-party outages, or business interruption.

To the fullest extent allowed by law, HighRanx's total liability for any claim related to our products or services will not exceed the amount you paid to HighRanx for the service at issue during the three months before the claim arose.

Some states may not allow certain limitations of liability, so some of these limits may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless HighRanx, its owners, team members, contractors, vendors, partners, and affiliates from claims, damages, losses, liabilities, costs, and expenses related to:

  • Your use of HighRanx products or services
  • Your violation of these Terms
  • Your violation of platform policies
  • Your violation of law
  • Your business practices
  • Your customer interactions
  • Your content or information
  • Your reviews or review requests
  • Your use of third-party platforms
  • Your misuse of HighRanx tools
  • Any claim made by your customers, employees, vendors, or third parties related to your business

22. Service Changes

HighRanx may update, change, replace, pause, discontinue, or remove services, features, packages, pricing, integrations, vendors, tools, or software at any time.

If a major change affects an active paid service, HighRanx will make reasonable efforts to provide notice when practical.

23. Suspension or Termination

HighRanx may suspend or terminate your access to products or services if:

  • Payment is not received
  • You violate these Terms
  • You misuse the service
  • You violate platform policies
  • You create legal, financial, technical, reputational, or operational risk for HighRanx
  • You use HighRanx services in a deceptive, harmful, abusive, or unlawful way
  • A third-party platform or vendor restriction prevents HighRanx from providing the service
  • HighRanx decides to discontinue the service

Suspension or termination does not automatically entitle you to a refund.

24. Taxes

You are responsible for any applicable taxes, fees, or charges related to your purchase, unless those taxes are collected directly by HighRanx or its payment processor.

25. Disputes

If a dispute arises, you agree to contact HighRanx first so we can try to resolve the issue informally.

26. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles, unless applicable law requires otherwise.

HighRanx may sell products and services to clients in multiple states. You are responsible for complying with the laws and regulations that apply to your business, location, industry, and customers.

27. Updates to These Terms

HighRanx may update these Terms from time to time. The updated version will be posted on this page with a new "Last Updated" date.

Your continued use of HighRanx products or services after changes are posted means you accept the updated Terms.
